Terms of service

1. Definitions

• "Services" means the Hank platform including RFP discovery, analysis, Knowledge Base, proposal generation, and related features.
• "User Content" means any data, documents, text, or information you upload or input to the Services.
• "Deliverables" means proposals, analyses, or other materials created by Hank's AI systems using your User Content.
• "Organization" means the legal entity on whose behalf you are using the Services.

2. Eligibility and Account Registration

You must be at least 18 years old and have the authority to bind your Organization to these Terms. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Notify us immediately at security@hank.bid if you believe your account has been compromised
• Accept responsibility for all activities under your account

3. License and Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You may not:

• Sublicense, sell, resell, or redistribute the Services
• Use the Services to build a competitive product
• Reverse engineer, decompile, or attempt to extract source code
• Use automated means to access the Services except as expressly permitted
• Use the Services in violation of applicable law
• Share account credentials with unauthorized parties
• Share, transfer, or provide access to your account, the Services, or any data within the platform to any individual who is not an authorized member of your Organization
• Permit any third party outside your Organization to use, view, or benefit from your account, User Content, Deliverables, or any information accessed through the Services
• Circumvent usage limits, access controls, or security measures
• Upload malicious code or content that infringes third-party rights

4. Ownership and Intellectual Property

Hank IP. The Services, including all software, algorithms, models, user interfaces, workflows, methodologies, templates, prompts, and documentation, are owned by Hank and protected by intellectual property laws. These Terms do not grant you any rights to Hank's IP except the limited license above.

User Content. You retain ownership of your User Content. By uploading User Content, you grant Hank a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely to provide the Services.

Deliverables. Upon full payment of applicable fees, you own the Deliverables created for your Organization. Hank retains all rights to its software, systems, workflows, methodologies, templates, prompts, and know-how used to create such Deliverables.

Feedback. If you provide suggestions, ideas, or feedback about the Services, you grant Hank the right to use such feedback without restriction or compensation.

5. RFP Discovery and Third-Party Data

The Services aggregate RFP information from third-party government and public sources. We do not guarantee the accuracy, completeness, timeliness, or availability of such information.

You are solely responsible for verifying all RFP details, deadlines, and requirements through official issuing agency channels before submitting any proposal.

Hank is not responsible for RFPs that are missing from the feed, incorrectly categorized, or contain outdated information.

6. AI-Generated Proposals and Content

IMPORTANT DISCLAIMER: The Services use artificial intelligence to generate proposal drafts, analyses, and recommendations. ALL AI-GENERATED CONTENT IS PROVIDED AS AN INITIAL DRAFT ONLY AND REQUIRES HUMAN REVIEW, VERIFICATION, AND EDITING BEFORE USE.

• No Guarantee of Success. Hank does not guarantee that proposals generated using the Services will be compliant, competitive, or successful. The outcome of any proposal submission depends on numerous factors outside our control.
• Professional Review Required. You agree to have qualified personnel review all Deliverables for accuracy, compliance, and appropriateness before submission to any issuing agency.
• Technical Content. AI-generated pricing, technical specifications, staffing plans, and past performance narratives must be verified by subject matter experts within your Organization.
• Your Responsibility. You bear sole responsibility for the content, accuracy, and compliance of any proposals you submit using Deliverables. Hank is not liable for rejected proposals, lost contracts, or any damages arising from your use of Deliverables.

7. Knowledge Base and Data Processing

You are responsible for the accuracy and legality of User Content uploaded to your Knowledge Base.

The Services may extract, process, and organize User Content using AI. Extraction accuracy is not guaranteed.

You represent that you have all necessary rights to upload User Content, including past performance data, client references, and team information.

8. Subscription and Payment

• Fees. You agree to pay all applicable subscription fees as set forth in your Order or the pricing presented at signup.
• Billing. Subscriptions are billed in advance on a monthly or annual basis as selected. Fees are non-refundable except as expressly stated herein.
• Auto-Renewal. SUBSCRIPTIONS AUTOMATICALLY RENEW at the end of each billing period unless you cancel before the renewal date. We will attempt to charge your payment method on file.
• No Mid-Term Cancellation. Subscriptions may not be cancelled for convenience during the Initial Term. You may cancel at the end of any term by providing notice before the renewal date.
• Changes. We may modify pricing with 30 days' notice. Price changes take effect at your next renewal.
• Taxes. Fees are exclusive of taxes. You are responsible for applicable sales, use, or VAT taxes.

9. Data Security and Privacy

We implement industry-standard security measures to protect User Content. However, no system is completely secure, and we cannot guarantee the security of your data.

Hank will not use your data to train artificial intelligence or machine learning models.

Our Privacy Policy, incorporated herein by reference, describes how we collect, use, and disclose information. By using the Services, you consent to such practices.

Upon termination, your data will be retained for 30 days to allow export. Thereafter, data may be permanently deleted.

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose such information to third parties.

Confidential Information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

HANK DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (a) The Services will be uninterrupted, secure, or error-free; (b) AI-generated content will be accurate or suitable for your purposes; (c) RFP data will be complete or timely; (d) Use of the Services will result in contract wins.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, CONTRACTS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF HANK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

Each Party agrees to indemnify and hold harmless the other Party, its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Its breach of this Agreement
• Its gross negligence or willful misconduct
• Its violation of applicable law

Additionally, you agree to indemnify Hank for any claims arising from proposals you submit using Deliverables or your violation of government contracting regulations.

14. Government Contracting Disclaimer

Hank is a software tool provider and is NOT a government contractor, consultant, or advisor.

The Services do not constitute legal, compliance, or professional advice. You should consult qualified professionals for guidance on government contracting regulations, FAR/DFAR compliance, and proposal strategy.

Hank is not responsible for ensuring your compliance with any procurement regulations, certification requirements, or set-aside eligibility.

15. Term and Termination

These Terms remain in effect until terminated.

Termination for Cause. Either party may terminate this Agreement for material breach by providing 30 days' written notice and opportunity to cure. If the breach is not cured within the 30-day period, termination becomes effective.

We may suspend or terminate your access immediately if you fail to pay fees, engage in conduct harmful to Hank or other users, or violate applicable law.

Upon termination, your license ends, and we may delete your data after the 30-day retention period.

Sections 4, 6, 11, 12, 13, 14, and 16-18 survive termination.

16. Dispute Resolution and Arbitration

Governing Law. These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Arbitration. Any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in New York, New York or remotely at the arbitrator's discretion.

CLASS ACTION WAIVER. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Small Claims. Notwithstanding the above, either party may bring claims in small claims court if eligible.

17. Modifications

We may modify these Terms at any time by posting the revised Terms on our website.

For material changes, we will provide notice via email or through the Services at least 30 days before the changes take effect.

Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.

18. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy and any Order, constitute the entire agreement between you and Hank.
• Severability. If any provision is held unenforceable, the remaining provisions continue in full force.
• Waiver. Failure to enforce any right is not a waiver of that right.
• Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices. Notices to you may be sent to the email address on your account. Notices to us should be sent to legal@hank.bid.
• Force Majeure. Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, war, or government actions.
